1. Acceptance of Terms
These Terms of Service (“Terms”) govern your access to and use of the Centric website, platform, and related services (collectively, the “Services”), operated by Davu Inc, doing business as Centric AI (“Centric,” “we,” “our,” or “us”). By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization. If you do not agree to these Terms, you may not access or use the Services.
2. Description of Services
Centric provides a no-code AI platform designed to help businesses analyze data, automate workflows, and enable AI powered business processes. The Services may include software tools, configuration interfaces, dashboards, integrations, documentation, and related features. Centric may improve, modify, suspend, or discontinue any part of the Services at any time.
3. Eligibility and Account Responsibilities
You must be legally capable of entering into binding agreements. You are responsible for maintaining the confidentiality of account credentials, all activity under your account, and ensuring compliance with applicable laws. You must notify Centric of any unauthorized access or security incident.
4. Acceptable Use and Prohibited Activities
You agree to use the Services solely for lawful business purposes and not engage in unauthorized access, disruption, malicious activity, or misuse of the Services.
5. Customer Data and Data Usage
Customer data typically remains within the customer’s infrastructure, with an optional Centric-managed environment. You retain all rights to your data. Centric processes data only to provide and improve the Services in accordance with its Privacy Policy.
6. AI-Specific Disclosures and Limitations
AI outputs are probabilistic and may not be accurate. Outputs are advisory only. You remain responsible for decisions made using the Services.
7. Intellectual Property Rights
Centric retains all rights in the Services. These Terms grant a limited, non-exclusive right to use the Services.
8. Confidentiality
Each party agrees to protect confidential information using reasonable care.
9. Third-Party Services and Integrations
Third-party services are governed by their own terms. Centric is not responsible for third-party services.
10. Fees, Trials, and Subscriptions
Certain Services may require payment or be offered under trial terms. Pricing details are provided separately.
11. Disclaimer of Warranties
THE SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND.
12. Limitation of Liability
CENTRIC’S LIABILITY IS LIMITED TO THE AMOUNT PAID IN THE PRECEDING TWELVE MONTHS.
13. Indemnification
You agree to indemnify Centric from claims arising from your use of the Services.
14. Termination and Suspension
Centric may suspend or terminate access for violations or security concerns.
15. Privacy and Data Protection
Use of the Services is subject to Centric’s Privacy Policy.
16. Changes to the Services or Terms
Centric may update the Services or Terms. Continued use constitutes acceptance.
17. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware.
18. International Use
You are responsible for compliance with local laws.
